How to Order
CovaChem strives to make the ordering process seamless, simple and secure. For this reason, CovaChem gives our customers many options for placing an order with us. Whether it is by credit card or purchase order, CovaChem offers multiple options to order products and receive them promptly.
When ordering with a credit card, orders can be placed online, over the telephone, or via facsimile. All orders receive the same priority, and will be received and processed promptly by CovaChem’s customer service department. Most orders ship out the same day they are ordered. If your order will not be shipped within 48 hours (excluding weekends and holidays), it is customary for our staff to contact you promptly.

Please note that all sales are final, and subject to our internal review for approval, prior to shipping.

CovaChem only sells to business entities, academic and government institutions. Our products are not intended for sale to the public or individuals. New business customers (B2B) will be asked to submit a completed and signed customer application for account review, prior to acceptance of initial order approval.  All orders are subject to internal review and acceptance by the CovaChem, LLC., prior to fulfillment.  Any order may be refused for any reason whatsoever.

Online security measures: CovaChem respects your privacy and continually takes steps to ensure online transactions with us are processed securely, and that your financial information is protected. In doing so, CovaChem does not retain customer credit card information. Orders placed through our website go directly through a secure connection to our online merchant, and all transaction information is processed through a webpage secured by PayPal.

Payment Terms
Purchase orders can be placed via fax, email, mail, or through the checkout pages at www.CovaChem.com. CovaChem routinely accepts purchase orders for catalog quantities and bulk orders. Please email questions, W-9 requests, or other accounting paperwork requests to [email protected]

Payment terms for purchase orders with approved credit are Net 30 days. Past due balances will be charged interest at a rate of 1.5% per month on a monthly basis, with the first interest charge being applied 30 days after the due date. Subsequent interest charges will be applied on a monthly basis.

Shipping
CovaChem ships its products domestically throughout the US via FedEx Ground and FedEx Air services. We also regularly ship product around the world using FedEx or UPS International, and we may substitute the carrier without notice. Please notify us on your order if you have a strong preference for a specific shipping company, and we will do our best to comply.

CovaChem strives to maintain very competitive shipping rates, and we routinely pass our discounts on to our customers. If you prefer us to ship an order collect on your shipping account due to your company having a better shipping rate discount or for other reasons, we will gladly do so. If ordering online, and paying by credit card, please complete the transaction, paying the full amount , and leave a note in the memo field with your FedEx/UPS account information. We will promptly refund your shipping costs and ship the order on your account. If ordering with a purchase order, please clearly state your shipping preferences on the order submitted.

All products ship EXW (Ex Works), unless specified otherwise.  Seller will make reasonable efforts to process and ship orders promptly and keep Buyer updated as to the dispatch. When complete shipments cannot be made, partial shipments may be made at Seller’s discretion unless otherwise requested. Regardless of method of shipment, D.O.T. and I.A.T.A. regulations require the use of special packaging for certain hazardous chemicals, which may impact shipment configuration.

Delivery of goods to the carrier at Seller’s plant or other loading point shall constitute delivery to Buyer and regardless of shipping terms, all risk of loss or damage in transit shall be borne by Buyer. If acceptable to Buyer, Seller may make delivery in installments. All such installments shall be separately invoiced and paid for when due per invoice and without regard to subsequent deliveries. Delay in delivery of any installment shall not relieve Buyer of its obligation to accept remaining deliveries. Immediately upon Buyer’s receipt of any goods shipped hereunder, Buyer shall inspect the same and shall notify Seller in writing of any claims for shortages, defects or damages and, if unacceptable, shall hold the goods for Seller’s written disposition. If Buyer shall fail to so notify Seller within 10 days after the goods have been received by Buyer, such goods shall conclusively be deemed to conform to the terms and conditions hereof and to have been irrevocably accepted by Buyer.

Seller shall not be liable for any loss, damage or penalty as a result of any delay in or failure to manufacture, deliver or otherwise perform hereunder due to any cause beyond Seller’s reasonable control, including without limitation, unsuccessful reactions, act of Buyer, embargo or other governmental act, regulation or request affecting the conduct of Seller’s business, fire, explosion, accident, theft, vandalism, riot, acts of war, strikes or other labor difficulties, lightning, flood, windstorm or other acts of God, delay in transportation, or inability to obtain necessary labor, fuel, materials, supplies or power. Goods may not be returned for credit except with Seller’s written authorization, and then only in strict compliance with Seller’s return of shipment instructions.

Any use tax, sales tax, excise tax, duty, custom, inspection or testing fee, or any other tax, fee or charge of any nature whatsoever imposed by any government authority, on or measured by the transaction between Seller and Buyer shall be paid by the Buyer in addition to the prices quoted or invoiced. In the event Seller is requested or required to pay any such tax, fee or charge, Buyer shall reimburse Seller; or, in lieu of such payment, Buyer shall provide Seller at the time the order is submitted an exemption certificate or other document acceptable to the authority imposing the tax, fee or charge.

Return Shipments
Return shipments will not be accepted without prior authorization and shipping instructions from the Seller. The situations which give rise to returns are often complicated and require individual attention and special handling. Unidentified or unauthorized return shipments will be discarded without credit. Restocking charges may be imposed and is determined on a case by case basis.  All claims for replacement or credit must be made within 10 days of receipt of goods.

Seller’s liability for any and all claims, losses or damages arising for any cause, including Seller’s negligence, shall in no event exceed the purchase price of the materials with respect to which the cause arose. In no event shall we be liable for incidental or consequential damages.

Order Cancellation
Order cancellation may be subject to restocking fees.  Bulk, Custom Synthesis and Special Order items are non-cancellable.

Product Warranty
CovaChem’s top priority is customer satisfaction. We strive to provide exceptional levels of product quality and customer satisfaction. Our mission is to provide our customers with high quality products designed to meet stringent specifications, and ensure that our customers are satisfied. If for some reason you are unsatisfied with the quality of our product(s) and it does not meet our product specifications, please contact our technical service department. In such case, we will issue a credit for the purchase price of the product or issue a suitable replacement at no charge. We strive to do whatever we can to ensure your satisfaction.

TSCA / Usage
The goods sold pursuant to this Agreement are research chemicals defined under TSCA, are NOT to be used for food, drug, household or any other applications, and should be used or handled only by or under direct supervision of “technically qualified individuals.”

The hazards, physiological and toxicological properties of the goods may not have been fully investigated and/or determined. Therefore, the goods should be handled with the utmost caution when they are used, stored or during disposal. Seller makes no guarantee of any results and assumes no liability for damage to any person, persons or property resulting from incorrect handling, storage, usage or disposal of the goods. Further, CovaChem, LLC. is not responsible for conditions and actions beyond its control.

Product Use (Research Use ONLY)
In relation to the use of CovaChem, LLC.'s product, the Buyer agrees under all circumstances to abide by all applicable local, state, federal and international laws. Buyer agrees that in every respect, CovaChem's products shall only be used for lawful purposes, including but not limited to its research application, transportation, transfer, and disposal. 

All products supplied by CovaChem, LLC are sold for research use only. CovaChem’s products are not to be used for human consumption or diagnosis of human disease.  

Safety Data Sheets (SDS)
Seller will supply appropriate SDS with the delivery of the goods sold pursuant to this Agreement. However, the nature of new research chemicals precludes complete knowledge and Seller makes no claim as to the completeness, correctness, currency or comprehensiveness of information provided in such SDS. These goods are intended for use by qualified professionals only who are familiar with the potential hazards and have been fully trained in proper safety, laboratory and chemical handling procedures.

Hazardous Material Disposal
When disposing of a chemical, careful consideration must be given to the chemical and physical properties of the compound. It is imperative that all national, state and local laws and regulations governing chemical disposal be observed and followed. All waste disposal of chemicals should be handled only by individuals who have received specific chemical education and training and who are conversant with chemical handling and safety procedures. Since the hazards and physical properties of any chemical may not yet be fully determined, only technically qualified persons familiar with potential hazards should be responsible for their disposal.

Limit of Liability
Buyer agrees to indemnify and hold Seller harmless from and against any and all losses, damages and expenses that Seller may sustain or incur as a result of any claim of negligence, breach of implied warranty, strict liability in tort or other theory of law, by Buyer, its officers, agents or employees, its successors or assigns, and its customers, whether direct or indirect, in connection with the use of Seller’s products, or by reason of Buyer’s failure to perform the obligations herein contained. Buyer shall notify Seller within ten (10) days of Buyer’s receipt of knowledge of any accident involving CovaChem’s products resulting in personal injury or damage to property, and Buyer shall fully cooperate with Seller in the investigation and determination of the cause of such accident and shall make available to Seller all statements, reports and tests made by Buyer or made available to Buyer by others. The furnishing of such information to Seller and any investigation by Seller shall not constitute an assumption of any liability by Seller.

Under no circumstances shall CovaChem's total liability in contract, tort, restitution or otherwise, arising in connection with the sale of its products exceed that of the total contract price paid by the buyer.  CovaChem, LLC. shall not be held liable to the buyer or its affilitate partners for any consequential compensation for loss of profit, destruction of goodwill, loss of business, etc.
